These General Terms and Conditions apply to all purchase contracts between Swedish Lorry Parts AB and the buyer of SLP's products.

General terms (2022)

These General Terms and Conditions apply to all purchase contracts between Swedish Lorry Parts AB (SLP) and the buyer of SLP's products (Buyer).

1. ORDERS, PRICES AND PAYMENTS ETC

a) Any information and data on weight, measurement, capacity etc. whether in electronic or in any other form, regarding SLP's products ("Products") are not binding unless explicitly referred to in an offer or written agreement. All technical data is provided subject to design modifications.
b) Price lists are subject to alteration at any time with thirty (30) days notice.
c) All prices are exclusive of VAT and other taxes or official duties.
d) An offering shall be binding for SLP for thirty (30) days from the date of the offer, unless otherwise stated in writing. No representations outside the offer or order confirmation shall be binding upon SLP unless confirmed in writing. Regardless of the foregoing, SLP may adjust the offered or agreed price to reflect any change in cost to SLP due to any factor beyond SLP's control such as foreign exchange fluctuations and alterations in duties or taxes.
e) Unless otherwise agreed in writing the Buyer shall make payment net cash, in the currency that the order confirmation is made, in advance prior to SLP’s shipment. When invoice credit is agreed, any payment not made when due shall accrue interest from the due date until the date payment is made at a per annum rate of eighteen (18) percent. Any overdue payment exceeding two (2) weeks entitles SLP to cancel the contract by notice in writing to the Byer. In case of such cancellation the Buyer is obliged to return the Products immediately at its own cost and on its own risk.
f) SLP is entitled to request adequate security for any outstanding part of the purchase price until the purchase price has been fully paid. SLP is entitled to cancel the purchase if adequate security, in the opinion of SLP's, is not presented immediately upon such request.

2. DELIVERY

a) Unless otherwise agreed in writing, all Products are sold Ex Works SLP's warehouse (Incoterms 2000). SLP is entitled to make delivery by instalments.
b) If the Buyer fails to accept delivery at the delivery time of any shipped Products (Shipment), SLP may at its option sell the Shipment for the account of the Buyer and the Buyer shall be liable for all costs and expenses incurred by SLP and the difference between the proceeds of sales and the Buyer's purchase price.
c) The Buyer shall inspect the Shipment immediately upon delivery and shall within seven (7) working days from receipt of the Shipment in the Buyer's warehouse notify SLP of any matter or thing by reason of which the Shipment is not in accordance with the contract. If the Buyer shall fail to give such notice within said period, it shall conclusively be deemed that the Shipment with regard to quantity, number, weight and volume is in accordance with the contract and that the Buyer shall have no right to reject the Shipment.

3. TRANSPORTATION AND PACKAGING

a) All quotations are Ex Works (Incoterms 2000) unless otherwise has been agreed. SLP will handle packing and delivery of Products to the Buyer. Transportation, handling fees and insurance will be charged in accordance with SLP's rates prevailing at the time of delivery.
b) Any delivery date specified by SLP is an estimate only and is not of the essence of the agreement and SLP accepts no responsibility for delay howsoever caused.

4. DANGEROUS GOODS

To be allowed to transport products that are classified as dangerous goods according to Law (2006: 263) certain rules must be followed.
a) The products must be sent in a separate consignment.
b) The products are packaged in type-approved packaging. This means that the packaging must meet certain design and test requirements in order to be used.
c) An additional fee will be applied.

5. RETURN AND WITHDRAWAL RIGHT

a) The Buyer has a period of thirty (30) days after the receipt of the goods to withdraw/return goods.
b) Parts must be returned unused in original packaging and the consignment shall be duly packed.  In the event of missing or damaged original packaging, a reduction in value takes place. Impairment is assessed on a case-by-case basis.
c) Shipment costs and responsibility for the transport risk are the Buyer’s responsibility. 
d) Upon return, a fee of fifteen percent (15%) will be discounted from the refund.
e) After receipt and control of the returned goods, SLP will contact the Buyer to agree on the amount to be returned.

6. GUARANTEE

This warranty policy applies to all Swedish Lorry Parts. (SLP) parts and components sold to SLP customers.
The obligation under this warranty is limited to reimburse the Buyer an amount equal to the purchase price, or repair
or replace the faulty product of the purchased SLP part or component found to be defective upon examination by Swedish Lorry Parts. It is the responsibility of the customer to see that all parts and paperwork are submitted for the claim. SLP customer must submit all claim charges, with the initial request, for warranty consideration. Warranty Claim authorization number will be arranged by SLP Warranty Department.

All SLP parts and components are warranted to be free from defects in materials or workmanship under normal use and service for a period of thirty-six (36) months or six thousand (6.000) hours of use or one hundred and twenty thousand (120.000) km / (74.500) miles, whichever occurs first.

It is understood that the end user or mechanic has an ongoing responsibility to examine a part as to its suitability to
the repair undertaken. It is expected that all parts will be installed by a professional mechanic with experience and according to manufacturer’s installation instructions.

The guarantee is subject to the following conditions:  
(A) the Buyer services and maintains the Product according to the manufacturer's recommendations. 
(B) the Buyer has not carried out any repair, alteration, process, operation or treatment to the Products without SLP's written consent.
(C) This warranty does not apply to any damage that is the result of rust, corrosion, or prolonged or improper storage.
(D) This warranty does not cover charges for fuel or lubricant usage, rental costs of any type, removal from or reinstallation of the product, or excessive time necessary to gain service access.
(E) As pointed out in (A), certain parts may need to be replaced due to wear and tear. Since these parts are consumed at varying rates, replacement is based on the operation and condition of your vehicle and on fixed schedules under normal operation and use of your vehicle. These items include, but may not be limited to, the following list: filters, fuses, belts, brake pads, brake rotors, wiper blades, shock absorbers.
(F) This warranty does not cover other incidental or consequential expenses including loss of use of the engine, loss of income, or inconvenience.
(G) SLP is not responsible for failures resulting from any replacement part or component which has been subject to misuse; negligence; inadequate lubricant or coolant; under filling; overloading; lack of proper maintenance; or accident. SLP is not responsible for the failure of any part that has been altered or repaired in anyway which in judgment of SLP might affect its stability or reliability. SLP is not responsible for failure resulting from improper installation, repair procedures, alteration or misapplication of parts.
(H) For SLP parts, liquids and fuel must be used following manufacturer´s recommendation. Liquids and fuel must be used from sources there no contamination exist. 

All requested information from SLP is required to be submitted to the SLP Warranty Department within 30 days of receiving your claim number. Request by Warranty department of return of part(s) they must be returned within 90 days otherwise claim is rejected. 

If claim is denied, questions, comments and appeals regarding the outcome of the claim are required to be submitted in writing within 10 days. If no appeals requested from customer in that time, the claim part(s) will be scrapped at SLP.

No person, distributor, agent, employee or company is authorized to modify or extend the terms of these warranties.

Revision 2022-March: This warranty policy is valid until further notice.

7. LIMITATION OF LIABILITY, INDEMNIFICATION

a) SLP shall not be liable in damages of any form or nature, whether direct or indirect, consequential or incidental, for defective Products or any other failure to fulfil its obligations under this agreement, except in case of gross negligence, wilful misconduct, death or personal injury. The Buyer acknowledges and agrees that, with the exceptions in the preceding sentence, its rights under the guarantee provisions in Article 4 above comprise the Buyer's exclusive remedy.
b) In the event any third party, who has purchased Products from the Buyer, is awarded damages from SLP under any product liability law, the Buyer shall fully indemnify SLP for such damages and for SLP's reasonable costs in relation thereto, unless the damage in question was due to SLP's gross negligence. SLP will give the Buyer prompt notice of such claim and invite the Buyer to participate in SLP's defence and any negotiation for a settlement with such third party.

8. INTELLECTUAL PROPERTY RIGHTS AND INFORMATION

a) SLP may without notice make any change to the specification of the Products. If Products are manufactured or any process is applied to the production at the request of the Buyer, the Buyer shall fully reimburse SLP for any and all costs and damages that might occur as a result of the specification or application of process infringing third party intellectual property rights.
b) The property of all documents and tooling prepared, manufactured or supplied by SLP and all intellectual property rights therein shall vest in and remain with SLP.
c) The Buyer shall immediately notify SLP of any claim of a third party alleging that Products delivered by SLP infringe intellectual property rights. The Buyer shall upon SLP's request give SLP the sole authority to defend or settle the case, provided always that SLP undertakes to do so at its own expense.
d) If it is held that Products delivered under this agreement have infringed third party intellectual property rights, SLP shall, at his own expense, and at SLP's option, obtain for the Buyer the right to continue using the Product, replace or modify it so as to become non-infringing or, in exchange for the return of the Product, reimburse the price of the Product.
e) The Buyer is not entitled to any other remedies, than those set out above, in relation to SLP's Products infringing third party intellectual property rights.

9. BUYER's OBLIGATIONS

a) The Buyer shall obtain all necessary permits and certificates from any public authority or other regulated body to enable SLP to comply with all statutory requirements and regulations.
b) The Buyer shall maintain strict confidentiality in respect of the business affairs, documents, and intellectual property rights of SLP's and shall not disclose or use the same except as necessary for the performance of the contract.

10. RETENTION OF TITLE

Products delivered shall remain the property of SLP's until the Products have been paid in full.

11. FORCE MAJEURE

a) If either party is prevented from performing its obligations under this agreement due to force majeure, the other party may not introduce any sanctions by reason thereof. However, if the hindrance regards the Buyer's possibility to carry out payment, SLP is entitled to withhold delivery of any Shipment until payment has been effected. If the hindrance to effect payment lasts for more than four (4) weeks SLP is entitled to cancel the purchase.
b) The term "force majeure" means in this agreement that the performance under the purchase contract is prevented, aggravated or  delayed  due to war, rebellion or riot, mobilization or unexpected call for military service of similar dimensions, requisition, seizure, exchange restrictions, export- or import restrictions, general scarcity of merchandise, shortage of transportation, labour conflict, restrictions on fuel and power, fire, faulty or delayed deliveries from sub-contractors due to above causes, as well as any other circumstance beyond the control of the party.
c) The party claiming to be affected by force majeure shall notify the other party in writing without delay on the intervention and on the cessation of such circumstances.

12. GOVERNING LAW AND DISPUTES

a) This agreement and any disputes hereunder shall be governed by Swedish law.
b) Any legal action relating to this agreement and all legal relationships associated with it shall be decided by District Court of Södertörn, Sweden as exclusive jurisdiction of first instance. However, SLP is always entitled to bring a claim for overdue payment to the local court or enforcement service where the customer has its legal domicile.

13. MISCELLANEOUS

Either party's failure to enforce breach of this agreement or to exercise its rights due to such breach shall not be deemed a waiver of such rights to enforce any future breach of agreement.
